By utilizing or subscribing to any services ("Services") provided by Vintrail Platform Inc. ("Vintrail"), you agree to adhere to the terms outlined in the following Terms of Service and Vintrail's privacy policy available at www.Vintrailpro.com/privacy. Any additions or modifications to the Services, including new features or tools, will also be subject to these Terms of Service. Vintrail reserves the right to amend these terms and the Privacy Policy by posting updates at www.Vintrailpro.com/terms and www.Vintrailpro.com/privacy, respectively. Regularly check these webpages for updates.

1. Your Account

To access and use the Services, registration for a Vintrail account ("Account") is required. Provide your full legal name, organization name (if applicable), phone number, email address, and any other requested information during the signup process.
▪️You must be 18 years or older.
▪️If creating an Account for an organization, you warrant authorization.
▪️Vintrail may reject Account applications at its discretion.
▪️Your provided email is the primary communication method for your Account.
▪️Maintain the security of your password; Vintrail is not liable for password misuse.


2. Use of the Services

You are responsible for Account activity and uploaded content ("Store Content"). While you retain ownership of Store Content, making your store public allows others to view it. Ensure compliance with laws and third-party intellectual property rights.

▪️Store Content may be transmitted unencrypted over networks.
▪️Comply with all applicable laws and regulations.
▪️Do not use the Services for illegal product sales.
▪️Adhere to alcohol sale regulations.
▪️Follow this Agreement, ADA, and applicable laws.Vintrail may remove unlawful or offensive content.
▪️Do not transmit malicious code.
▪️Do not exploit Vintrail's software without permission.
▪️If using email features, comply with laws and regulations.
▪️Technical support is for paying Account holders via email.


3. Intellectual Property

Grant Vintrail a license for customer data obtained through Services, using it for support, improving software, conducting analyses, and marketing.

▪️Grant Vintrail the right to use store-associated names, trademarks, and logos.
▪️Vintrail (or its licensors) owns all rights to the Services and related enhancements.


4. Payment Gateways

Acknowledgment that payment gateway options are limited to those offered by Vintrail. Users must keep gateways active.


5. Limitation of Liability

▪️Vintrail disclaims all warranties.
▪️Vintrail is not liable for indirect or consequential damages.
▪️Cumulative liability is limited to the amount paid in the preceding three months.
▪️Users indemnify Vintrail against claims or demands by third parties.

6. Termination

▪️Breach results in immediate Account termination.
▪️Vintrail may terminate an Account at its discretion.
▪️Users can terminate by emailing sales@Vintrail.com.
▪️Upon termination, Services cease, no refunds are provided, and outstanding balances are due.

7. Changes to Services and Fees

▪️Fees may change with 30 days' notice.
▪️Vintrail may modify or discontinue Services with or without notice.
▪️Users are responsible for taxes and associated costs.


8. Marketing and Promotions

Users agree to participate in Vintrail's marketing and promotions, allowing the use of trademarks, brands, and logos for promotional purposes.


9. General

▪️Users must provide their end users with copies of the Terms and Conditions and Privacy Policy.
▪️Governed by the laws of the Province of British Columbia.
▪️Vintrail's failure to enforce any right does not constitute a waiver.
▪️These Terms of Service constitute the entire agreement between you and Vintrail.
